AMITA Group to Increase Capital in Indonesian Joint Venture for Full-Scale Rollout of Its Closed-Loop Recycling Business ― Advancing construction of the plant that will anchor the Group's growth strategy outside Japan ―
AMITA CIRCULAR DESIGN SDN. BHD. ("ACD"), the regional headquarters and a subsidiary of AMITA HOLDINGS CO., LTD. ("AMITA HOLDINGS"), will make an additional capital contribution to PT Amita Tamaris Lestari ("ATL"), an Indonesian company in which it already holds an equity stake.
The AMITA Group will apply the funds to the construction of a circular materials plant scheduled to open by the end of fiscal 2027, as the Group advances its closed-loop recycling business in Indonesia. ACD plans to contribute up to 5.76 billion Indonesian rupiah (IDR),* or approximately JPY 50 million.
Through its closed-loop recycling business in Malaysia, the AMITA Group has built a foundation for its business operations outside Japan. The expansion into Indonesia is intended to accelerate that growth and to establish a second operating base outside Japan, following Malaysia.

1. About the Closed-Loop Recycling Business in Indonesia
This business will manufacture and supply alternative raw materials and fuels for the cement industry, using industrial waste and byproducts as feedstock, on the island of Java, Indonesia.
The operating company is PT Amita Prakarsa Hijau ("APH"), an Indonesian company 80% owned by ATL. APH plans to build the plant with a view to starting operations by the end of fiscal 2027. This capital increase provides the funds required for that construction.

2. Shareholding Structure and Capital Increase Amounts
The shareholders of APH will subscribe to a total capital increase of up to IDR 12 billion, each in proportion to their respective equity stake. ATL will subscribe to the 80% portion (up to IDR 9.6 billion) and PT Sari Bhakti Sejati to the remaining 20%. Accordingly, ACD will subscribe to up to IDR 5.76 billion, its 60% share of ATL's subscription, equivalent to a 48% interest in APH.

3. Next Steps
Construction of the plant is scheduled to begin during fiscal 2026, with completion and the start of operations during fiscal 2027. The AMITA Group plans to carry out further capital increases in coordination with its joint venture partners as construction progresses.
4. Groundwork Laid Toward Launching the Business
In Indonesia, where the government is advancing proper waste management at the national level, securing a stable supply of alternative raw materials and fuels has become a critical issue for decarbonizing the cement industry and building a sustainable resource circulation model. Against this backdrop, ACD established two joint ventures in 2024 in collaboration with the Salim Group, one of Southeast Asia's largest conglomerates, and PT Indocement Tunggal Prakarsa Tbk., a leading Indonesian cement producer, and has since been building out the operating structure.
This capital increase builds on that groundwork and is intended to advance construction of the plant.
